Three ways to hold the land
Each is a different risk. A partnership keeps the land cost off the developer’s books but leaves the landowner a party to every sale, so buyers will read the agreement too.
| Structure | What the developer holds | Suits | Watch for |
|---|---|---|---|
| HGB through a PT PMA | A registered right to build, in the company’s name, 30 + 20 + 30 years | Larger projects; land the developer may mortgage | Converting the title; the company’s running costs |
| Ground lease | A notarial lease from the Indonesian owner | Villa projects sold as leaseholds | Term, sub-lease and assignment rights, end-of-term terms |
| Landowner partnership | A contract: the owner contributes land, the developer builds and sells | Owners who will not sell or lease outright | Who holds what at each stage; nothing that works as a nominee |
The ground lease: clauses buyers will check
Rent on leased land is usually quoted per are per year and agreed with the owner; the deed sets whether it is paid for the whole term at signing or in instalments. Only 3 of the 105 leasehold plots listed on 18 October 2026 stated a price, so land rent is negotiated, not read off a listing.
- Term and start date, with the construction period allowed for: buyers compare lease years remaining at handover.
- The right to build, and what: the number of units and floors the project needs.
- The right to sub-lease or assign each unit to a buyer, without the owner’s consent each time, or with consent that cannot be unreasonably withheld.
- Who owns the buildings at the end of the term.
- An extension with a price or a formula, which buyers will price; ‘to be agreed’ they will not.
- Both spouses’ or all heirs’ signatures where the land is marital or inherited property.
- What happens if the landowner sells: Article 1576 of the Civil Code carries the existing lease over, but not an extension not yet exercised.
Partnerships with landowners
Where an owner will neither sell nor lease, developers agree to build on the land and share the outcome: units or sale proceeds in return for the land, or a share of rental income. These are commercial contracts and the terms are the parties’ own, so the contract has to say plainly who holds the land, who signs each buyer’s lease, how proceeds are split and what happens if the project stops.
The line not to cross is a nominee: an Indonesian holding land on paper for a foreigner’s money. It is void under Article 26(2) of the Basic Agrarian Law, and Bali’s Perda 4/2026 prohibits brokering one. Have an Indonesian lawyer draft the partnership, not adapt a template.
Pricing the land against the project
Work backwards from what the finished units can ask. Off-plan villas listed by Baliestate’s partner agencies asked a median IDR 47.0 million per m² of building on 6 October 2026 and completed villas IDR 30.4 million, and buyers compare the two. Take a realistic sale price per m² from comparables in the same area, subtract build cost, permits, design, finance, sales and marketing costs and a margin, and what remains is what the land can bear, per are or per lease-year.
Where freehold land states a price it is thin: 11 priced plots in Canggu asked a median IDR 1.0 billion per are on 6 October 2026, from IDR 600 million to IDR 2.5 billion. The land valuation guide sets out the method.
Checks before you sign for land
Make the land agreement conditional on these, with the deposit refunded if one fails. The permit-sequence guide covers what follows.
- Title at the land office against the owner, with no mortgage or seizure registered.
- Zoning for the planned use in writing: the RDTR zone and a KKPR through OSS; green belt, LP2B farmland and setbacks rule a villa out.
- Legal access of usable width, recorded in the title.
- A fresh survey against the certificate’s survey map.
- Water, power and the PLN capacity a project needs.
Where Baliestate fits
Land agents and developers list plots and projects on Baliestate with no limit, from USD 100 a month, read daily from their own website; land has its own pages by area. On Gold (USD 500 a month plus commission), market search and pricing analysis cover the partner listings a residual calculation needs, and the 24/7 AI agent answers buyer enquiries about each unit. Enterprise, priced on a call, adds a workspace with a REST API and webhooks, SEO and GEO for the developer’s own website, and custom AI agents.
Common questions
How do developers get land in Bali?
By holding HGB through a PT PMA, leasing the land from its Indonesian owner by notarial deed, or partnering with the owner, who contributes the land for a share of the project. A nominee arrangement is void and banned from brokering in Bali.
How long should a ground lease be for a villa development?
Longer than the leases you will sell plus the construction time. Completed villas listed on 6 October 2026 had a median 25-year lease and off-plan 28, so buyers expect at least that remaining at handover.
What should a land lease for a development allow?
Building the planned units, sub-leasing or assigning each unit to buyers, a clear owner of the buildings at the end, and a priced extension.

Land tenure, lease terms and the count of priced leasehold plots are over plots listed by Baliestate’s partner agencies on 18 October 2026, as the land guide publishes them; prices per are and per m² over listings on 6 October 2026, as the build-or-buy and off-plan guides publish them.
